Terms of Use

1. About These Terms

These Terms of Use (“Terms”) govern your access to and use of the AISpendGuard platform, including the web dashboard, API endpoints, and the @aispendguard/sdknpm package (collectively, the “Service”).

The Service is operated by IT Kings, s.r.o., a company registered in the Slovak Republic (see Section 15 for full identification).

By creating an account or sending usage events to the Service you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Definitions

• “Workspace” — an isolated tenant container that groups usage events, API keys, and team members.
• “Usage Event” — a single data record sent to the POST /api/ingest endpoint containing provider, model, token counts, cost, and tags.
• “Tags” — key-value metadata attached to a Usage Event (e.g., task_type, feature, route).
• “SDK” — the @aispendguard/sdk TypeScript package.
• “Plan” or “Tier” — the subscription level associated with a Workspace (Free or Pro).

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

4. Account Registration

Authentication is handled via Clerk. You are responsible for maintaining the security of your authentication credentials and for all activity that occurs under your account.

You must provide accurate and complete information during registration and keep it up to date.

5. Service Description

AISpendGuard is a privacy-first AI cost control platform that:

• Ingests tags-only usage events from your AI API calls.
• Attributes costs by feature, route, task type, and customer plan.
• Detects wasteful spending patterns (wrong model tier, free-tier subsidy, RAG bloat, batchable workloads).
• Provides actionable savings recommendations with estimated amounts.

The Service never stores prompts, completions, model outputs, or end-user content. Only metadata tags and token counts are processed.

We use PostHog (EU Cloud, cookieless) for product analytics to understand feature usage and improve the Service. PostHog does not set cookies or use localStorage. See our Privacy Policy for details.

6. Plans & Pricing

All tiers include the full dashboard, waste detection, savings recommendations, and all supported AI providers. Tiers differ only by event volume and workspace count.

We reserve the right to change prices with 30 days’ prior notice. Existing subscriptions remain at their current rate until the next renewal after the effective date of the change.

7. Event Limits

Each Plan has a monthly event limit. On the Freetier the limit is a hard cap — once reached, the ingest API returns HTTP 429. Your dashboard and historical data remain fully accessible.

On the Pro tier the limit is a soft cap: events continue to be ingested, and a dashboard warning appears at 90% usage. We may enforce hard limits in the future with prior notice.

Event counts reset on the 1st of each calendar month (UTC).

8. Payments & Billing

Paid plans are billed monthly through Stripe. By upgrading you authorise Stripe to charge your payment method on a recurring basis.

Upgrades take effect immediately with prorated charges. You can downgrade or cancel at any time through the Stripe Customer Portal; the change takes effect at the end of the current billing period.

All prices are in EUR and exclusive of VAT where applicable. VAT will be added in accordance with Slovak and EU tax regulations.

9. Email Communications

By using the Service, you agree to receive transactional emails at the email address associated with your account. These include:

• Budget alerts — notifications when your AI spend reaches configured thresholds.
• Member invitations — workspace invitation emails sent to the invitee’s email address.
• Service notifications — material changes to these Terms, our Privacy Policy, or the Service itself.

Transactional emails are delivered via Resend. We do not send marketing or promotional emails. If we introduce marketing communications in the future, we will obtain your explicit opt-in consent and include an unsubscribe link in every message.

10. API Keys & Security

Ingest API keys are generated per Workspace. The raw key is displayed once at creation and is never stored in plaintext (we keep a SHA-256 hash). You are solely responsible for keeping your API keys secure.

You must not share API keys publicly. If a key is compromised, revoke it immediately in the Workspace Settings and generate a new one.

11. Acceptable Use

You agree not to:

• Send prompts, completions, PII, or any end-user content in event tags.
• Circumvent event limits, rate limits, or batch size limits (max 500 events/request).
• Reverse-engineer, decompile, or attempt to extract the source code of the Service (the SDK is open source).
• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorised access to other Workspaces or accounts.
• Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate your account for violations of this section, with or without prior notice.

12. Intellectual Property

The Service (excluding the SDK, which is separately licensed) is the intellectual property of IT Kings, s.r.o. You retain all rights to your Usage Events and tags data.

We do not claim ownership of your data. We use your data solely to provide and improve the Service as described in these Terms and in our Privacy Policy.

13. Disclaimers & Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Savings estimates and waste recommendations are advisory. We do not guarantee any specific cost reduction.

To the maximum extent permitted by applicable law, IT Kings, s.r.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability shall not exceed the amounts paid by you to us in the 12 months preceding the claim.

14. Termination

You may terminate your account at any time by cancelling your subscription (if on a paid plan) and contacting us to request account deletion.

We may suspend or terminate your account if you breach these Terms. Upon termination, your data will be deleted within 30 days unless retention is required by law.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Slovak Republic. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts in the Slovak Republic, unless mandatory consumer protection laws of your country of residence provide otherwise.

We may update these Terms from time to time. Material changes will be communicated via the dashboard or by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
